Terms of Use

These terms of use (the "Terms") govern access to and use of all the digital services published or operated by Eclixia: websites, online platforms, software and client workspaces (together, the "Services"). By accessing any of these Services, you accept these Terms without reservation. The services Eclixia sells (consulting, acquisition, website builds, and so on) remain governed by our Terms of Sale.

2. Services covered
These Terms apply to all the Services, including:
- Our websites: eclixia.com and its pages (services, expertise, industries, client cases, news, campaign pages), and any other site Eclixia publishes for its own account.
- Our platforms and software: the online applications built and operated by Eclixia, including Franchify (a management platform for franchise networks), calibration, simulation and data collection tools, and any back office or dashboard we make available.
- Our client workspaces: the restricted-access environments provided to our clients and their teams during an engagement (reporting, management dashboards, documents, shared tools).
Where a given Service is covered by specific terms (an engagement contract, a licence agreement, platform-specific conditions), those specific terms prevail over these Terms for the matters they address.
3. Acceptance and changes to these Terms
Using any Service constitutes full acceptance of these Terms. If you do not accept them, please do not use the Services.
Eclixia may update these Terms at any time, in particular to reflect legal, technical or functional changes. The version in force is the one published on this page, with its update date. If you hold an account on one of our platforms, we will inform you of any substantial change by reasonable means (notification, email or in-app message).
4. Access to the Services
Eclixia's public websites are available free of charge to anyone with internet access. Equipment, connection and communication costs remain your responsibility.
Platforms and client workspaces are reserved for authorized users (clients, franchisees, designated team members) within the scope defined by the relevant contract or engagement. Eclixia freely determines the technical terms of access (credentials, invitations, role-based restrictions).
Eclixia works to keep the Services continuously available but cannot guarantee it. Access may be temporarily suspended for maintenance, updates, fixes or events beyond our control. Where possible, planned interruptions on client platforms are carried out outside business hours.
5. Accounts and credentials
Some Services require an account. As an account holder, you agree to:
- provide accurate, up-to-date information when creating the account;
- keep your credentials confidential; they are strictly personal;
- not share your access or let an unauthorized third party use your account;
- notify Eclixia without delay if your credentials are lost, stolen or used suspiciously.
Any action performed from an account is deemed to have been performed by its holder. Eclixia may suspend an account in the event of abnormal use, a security risk or a breach of these Terms, after informing the user where circumstances allow.
6. Rules of use
When using the Services, you agree not to:
- compromise the security, integrity or availability of the Services (intrusion, authentication bypass, code injection, deliberate overload);
- perform automated, large-scale extraction of content or data (scraping) without prior written consent;
- copy, resell, sublicense or make all or part of the Services available to third parties without consent;
- publish or transmit through the Services any content that is unlawful, defamatory, infringing or harmful to the rights of others;
- use the Services to send unsolicited communications (spam);
- attempt to access data or workspaces not intended for you, including those of other clients or franchisees.
Eclixia reserves the right to restrict or suspend access for any user who breaches these rules, without prejudice to any other action or claim.
7. Intellectual property
The Services, their structure, code, interfaces, content (texts, visuals, logos, trademarks, visual identities) and the software they run on, including the Franchify platform, are protected by intellectual property law and remain the exclusive property of Eclixia or its licensors.
Access to the Services grants you only a personal, non-exclusive, non-transferable right of use, limited to the intended purpose of the relevant Service and, where applicable, to what the governing contract provides. Any unauthorized reproduction, representation, adaptation or exploitation is prohibited.
The data, content and documents our clients entrust to Eclixia or enter into our platforms remain their property. Eclixia uses them only to deliver the Services, under the conditions set by the contract and by our privacy policy.
8. Data hosted on our platforms
Our platforms process business data (commercial data, indicators, documents) on behalf of our clients. In that context:
- Hosting: data is hosted on infrastructure located in the European Union, secured and backed up regularly.
- Confidentiality: each client can only access its own data; access is segregated by account and by role.
- Data return: at the end of a contract, the client's data is returned on request in a standard, usable format before deletion.
- Processing on instructions (GDPR): where that data includes personal information, Eclixia acts as a processor within the meaning of article 28 of the GDPR, under the client's documented instructions. For Canadian clients, this also reflects the service-provider arrangements contemplated by PIPEDA and Quebec Law 25.
9. Personal information and cookies
How we handle personal information linked to your use of the Services is described in our privacy policy. Our use of cookies and trackers is detailed in our cookie policy, where you can change your preferences at any time.
10. Liability
Eclixia takes reasonable care to keep the information published on its sites accurate and its Services working properly. Public content (articles, industry pages, illustrative figures) is provided for information only and does not constitute personalized advice or a contractual commitment.
To the extent permitted by applicable law, Eclixia is not liable for:
- damage resulting from a use of the Services that does not comply with these Terms;
- interruptions, malfunctions or data loss attributable to the internet network, your equipment or an event of force majeure;
- content, products or services offered by third-party sites reachable through links from our Services;
- decisions you make on the basis of information or indicators provided by the Services, which do not replace your own verification.
For platforms provided under a contract, the parties' respective responsibilities are set out in that contract and in our Terms of Sale, which prevail over this section in the event of a conflict.
11. Third-party services and integrations
Some Services rely on third-party services (meeting scheduling, analytics tools, advertising platforms) or connect, at the client's request, with the client's own tools (CRM, ad platforms, messaging, telephony). Use of those third-party services remains subject to their own terms. Eclixia configures these integrations with care but is not responsible for changes, limitations or outages imposed by third-party publishers.
12. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute about their interpretation or performance that cannot be settled amicably, the courts of Lyon (France) will have exclusive jurisdiction. If you are a consumer, this clause does not deprive you of the protection of any mandatory rules of the law of your place of residence, including Canadian provincial or territorial consumer protection laws where they apply.
